Esmertec shareholders approve increase of authorized capital in favour of the Sagem transaction at Extraordinary General Meeting

EsmertecTM (SIX: ESMN), a leading provider of software platforms, applications and services to communications device manufacturers and mobile telecom operators, is pleased to announce that shareholders approved the proposal put forward by the Board of Directors at the Extraordinary General Meeting (EGM) today with strong majorities of 99.77% of the present votes. 10,795,856 shareholders' votes participated or were represented at the EGM, representing 50.67% of the total issued shared capital.
Shareholders voted in favour of the creation of 2'413'342 million shares of authorized capital with a nominal value of CHF 0.10 each representing a nominal capital of CHF CHF 241'334.20 valid for a period of 2 years. From this portion 3'210'790 shares will be used for the transaction and 535'132 shares will be remaining in favour of further strategic moves. The capital increase is earmarked for the finalization of the acquisition of Sagem Mobiles' software platform activities, as well as for pursuing further strategic options. The new capital structure on a fully diluted basis will show the following structure after the closing of the transaction:
